    These terms govern the use of the Ascendant Apex website and the general conditions applicable to our professional services.

    1. Acceptance and Scope

    These Terms govern the use of ascendantapex.com and the general conditions for contracting Ascendant Apex services.

    Ascendant Apex LLC is located at 960 W 29th ST, Hialeah, Florida 33012, United States.

    By using the site, requesting an assessment, approving a proposal or contracting a service, the user accepts these Terms. A person acting for a company confirms that they have authority to bind that company. If the person does not accept the Terms, they should not contract or use the services.

    A signed or accepted proposal, order of work, statement of work or contract may contain additional project-specific terms. When a project document conflicts with these general Terms, the project-specific document controls for that project.

    2. Services and Project Scope

    Ascendant Apex may provide services including Conversation AI, Voice AI, AI agents, CRM, calendars, automations, workflows, digital marketing, advertising, web design, landing pages, integrations, training, support, monitoring, maintenance, optimization, and reporting.

    The exact scope appears in the approved commercial document. The commercial document defines deliverables, schedules, revisions, dependencies, fees and responsibilities.

    Requests outside the approved scope may require additional fees or additional time. Changes must be approved before implementation. Ascendant Apex is not required to provide features that were not included in the approved scope.

    3. Client Responsibilities

    The client must:
    • Provide accurate business information, necessary access and credentials, and content and approvals on time.
    • Confirm that it owns or may legally use all logos, images, text, contact lists and materials supplied.
    • Review and approve copy, campaigns, pages, AI instructions, knowledge bases, automations and integrations before launch.
    • Keep credentials secure and limit access to authorized personnel.
    • Comply with laws applying to its industry, location and audience, and obtain required consents.
    • Avoid illegal, abusive, discriminatory, misleading, fraudulent or infringing uses.
    • Notify Ascendant Apex about errors or material business changes.
    Client delays may affect delivery dates and project schedules.

    4. Artificial Intelligence

    AI tools may generate responses, classifications, summaries, recommendations, text, images or actions. AI output may contain errors, omissions or inaccurate interpretations.

    The client must review the approved instructions, knowledge sources and configurations. Human review may be needed. AI does not replace legal, medical, financial, accounting or other regulated professional advice.

    Ascendant Apex does not guarantee that an AI agent will understand or answer every inquiry correctly. AI functionality may change because of model updates, providers, integrations or platform policies. The client must maintain appropriate escalation and human-handover procedures.

    5. Messaging, Calls and Recordings

    This applies to SMS, email, WhatsApp, Instagram, Facebook Messenger, web chat, incoming calls, outgoing calls, automated dialing when approved, call transfers, call recording, transcriptions, and follow-up messages.

    The client is responsible for obtaining legally required consent and for compliance with telemarketing, privacy, recording and commercial-communication rules.

    Ascendant Apex may help configure consent wording, business hours, opt-out instructions and suppression rules. Configuration assistance does not constitute a guarantee of legal compliance in every jurisdiction or industry. The systems may not be used for spam, harassment, impersonation or unlawful communications.

    6. Digital Marketing and Advertising

    Marketing services may include research, strategy, audience definition, campaign setup, advertising copy, creative direction, tracking preparation, measurement, optimization, and reporting.

    Advertising budget is separate unless expressly included. Production, licenses and third-party tools may be separate. The client controls its advertising accounts, offers, payment methods and claims.

    Ascendant Apex does not guarantee sales, leads, bookings, revenue, profitability, cost per result or ad approval. Results depend on offer, market, competition, budget, audience, creative, platform history, algorithms, platform policies, client response times and sales execution. Platforms may reject, restrict or suspend advertisements or accounts.

    7. Web Design and Development

    Web projects follow the approved scope. The client must provide required content, logos, images, legal text, domain access and hosting access unless included in the proposal.

    Ascendant Apex will test reasonable current desktop, tablet and mobile layouts. Absolute compatibility with obsolete browsers or unusual configurations is not guaranteed. SEO position, page speed, accessibility scores, rankings and conversion rates are not guaranteed unless specifically agreed in writing.

    Domains, hosting, plugins, fonts, licenses and integrations may involve separate third-party fees. Revisions outside the approved number or scope may be charged separately. Maintenance, backups, security and updates after delivery depend on the selected service agreement. The client must review and approve the site before launch.

    8. Third-Party Platforms and Integrations

    Services may depend on HighLevel, Meta, Facebook, Instagram, WhatsApp, Google, Twilio, payment processors, domain registrars, hosting providers, email providers, AI-model providers, analytics providers, and other approved integrations.

    Ascendant Apex does not control third-party availability, pricing, approvals, suspensions, API changes or discontinued features. Third-party services have their own terms and privacy policies.

    The client is responsible for third-party fees unless otherwise stated. Ascendant Apex is not responsible for losses caused exclusively by external outages, bans, policy changes or discontinued integrations. Ascendant Apex may help evaluate alternatives when included in the approved scope.

    9. Fees, Automatic Charges, Cancellation and Refunds

    9.1 Fees and payment dates

    Fees, deposits, recurring charges and payment dates appear in the proposal, order of work, contract or invoice. Work may begin only after the required initial payment. Advertising spend, domains, hosting, licenses, telephone numbers, messaging costs and third-party fees are separate unless expressly included. The client must maintain a valid payment method when automatic payment has been authorized.

    9.2 Authorization of automatic charges

    Ascendant Apex may process an approved automatic charge on the date stated in the applicable commercial document. Recurring charges must correspond to the professional service authorized by the client. The client must update its payment details before the scheduled charge date.

    9.3 Cancellation before the next automatic charge

    To prevent the next automatic charge, the client must submit a written cancellation request to support@ascendantapex.com at least 24 hours before the scheduled charge. A request received less than 24 hours before the scheduled charge may not stop a payment that is already being processed.

    9.4 Review and refund requests after an automatic charge

    If an automatic charge has already been processed, the client must submit any request for review or refund in writing to support@ascendantapex.com within 24 hours after the charge. Ascendant Apex will evaluate the request based on work already completed, services already provided, time already used, deliverables already created and third-party costs already incurred.

    Requests submitted after the 24-hour period may be denied, subject to applicable law and any written agreement. Duplicate charges, billing errors or properly documented unauthorized charges may still be reviewed.

    9.5 Non-refundable amounts

    The following are generally non-refundable once incurred or performed: deposits applied to work already started, strategy work already completed, design or development work already completed, configuration hours, training, support, monitoring, optimization, advertising spend, domains, hosting, licenses, telephone numbers, messaging usage, platform charges, third-party costs, custom deliverables already supplied, and services performed before cancellation.

    9.6 Effect of cancellation

    Cancellation stops future services and future charges from the effective cancellation date. Cancellation does not eliminate previously accrued payment obligations. Ascendant Apex may deactivate managed automations, campaigns, numbers, integrations or platform access when the service ends. Export or transfer assistance is only included if stated in the approved project scope.

    9.7 Suspension

    Ascendant Apex may suspend service because of nonpayment, illegal activity, security risk, material breach, abuse, or violation of third-party platform policies.

    10. Intellectual Property

    The client owns materials it lawfully provides. Ascendant Apex retains ownership of preexisting methods, reusable components, internal processes, templates, know-how and tools.

    After full payment, the client receives the ownership rights or license described in the applicable commercial document. Third-party materials remain subject to third-party licenses.

    Ascendant Apex may reuse general knowledge and non-confidential components that do not identify the client. Internal tools may not be copied, resold, sublicensed, reverse engineered or distributed outside the authorized scope. No transfer occurs before all required payments have been completed unless agreed otherwise in writing.

    11. Confidentiality and Data Protection

    Each party will use reasonable measures to protect the other party’s confidential information. Confidential information may be used only for the approved project. Confidentiality does not cover public information, independently developed information, legitimately received information or legally required disclosures.

    Personal information is also governed by the Ascendant Apex Privacy Policy. When applicable, a data-processing agreement may supplement the project terms.

    The client is responsible for its own privacy notice and consent obligations. The client is responsible for informing contacts about CRM, AI, messaging, calls, recording, analytics and advertising when required.

    12. Warranties and Limitation of Liability

    Services will be performed with reasonable commercial care. Services are otherwise provided as available and according to the approved scope. Ascendant Apex does not guarantee uninterrupted or error-free third-party services, nor does it guarantee a particular commercial result.

    Ascendant Apex is not liable, to the maximum extent permitted by law, for indirect, special, punitive or consequential damages. This includes lost profits, lost opportunities, lost data, business interruption, third-party platform decisions and unmet commercial expectations.

    To the maximum extent permitted by law, total liability will not exceed the amount actually paid for the specific service that caused the claim. Limitations apply only to the extent permitted by applicable law.

    13. Termination and Governing Law

    Services may end under the conditions in the applicable proposal or contract. Ascendant Apex may terminate or suspend immediately for material breach, illegal activity, security risk, abuse or nonpayment. Outstanding balances remain payable after termination.

    Payment, intellectual-property, confidentiality, liability and dispute provisions survive termination.

    These Terms are governed by the laws of the State of Florida, United States. Venue for disputes will be the courts located in Miami-Dade County, Florida, unless a written contract specifies another dispute-resolution method.

    14. Changes and Contact

    The Terms may be updated to reflect changes in services, providers or legal requirements. The latest version will show a new update date. Material changes affecting active services may be communicated when appropriate. Continued use after an effective update may constitute acceptance where legally permitted.
